By creating an account, registering a workspace, or using Metify ("Service"), you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of a company or entity, you represent that you have the authority to bind such entity.
2. About Metify & Yuvan Creations
Metify is an AI-powered WhatsApp Business SaaS platform owned and operated by Yuvan Creations. We provide multi-panel inbox management, visual campaign builders, vector-trained AI agent resolutions, and integrations built on the official Meta WhatsApp Cloud API v23.0.
3. User Responsibilities
- Maintain the confidentiality of account login credentials and Meta Permanent Access Tokens.
- Ensure all phone numbers and recipient contacts have explicitly opted in to receive WhatsApp messages.
- Comply with Meta WhatsApp Commerce & Business Policies at all times.
4. WhatsApp Business API Usage
Users connect their official Meta WhatsApp Business Account (WABA) to Metify. Metify does not issue WhatsApp phone numbers directly. Messaging tier limits, quality ratings, and message template approvals are managed directly by Meta Platforms Inc.
5. Message Policies
You agree to send messages only to customers who have provided verifiable opt-in consent. Metify strictly prohibits sending unsolicited promotional messages or violating 24-hour customer service window guidelines.
6. Prohibited Activities
The following activities result in immediate workspace termination without refund:
Spam & Unsolicited Messaging
Bulk messaging without verifiable user consent.
Fraud & Financial Scams
Phishing, deceptive schemes, or financial fraud.
Illegal Marketing
Promoting weapons, narcotics, gambling, or contraband.
Abuse & Harassment
Hate speech, threatening, or offensive content.
Malware & Exploits
Distributing malicious links or malware scripts.
Fake Identity & Impersonation
Impersonating brands or government entities.
7. Billing, Subscriptions & Refunds
- Subscription Tiers: Paid plans (Starter, Growth, Enterprise) are billed monthly or annually via Razorpay.
- Automatic Renewal: Subscriptions renew automatically unless cancelled before the renewal billing cycle.
- Refund Policy: Payments are non-refundable except in cases of verified platform downtime exceeding 99.0% SLA.
- Taxes: All subscription prices are subject to applicable GST and Indian tax regulations.
8. Service Availability & SLA
While we strive for 99.9% uptime, Metify is not liable for service interruptions caused by Meta WhatsApp Graph API outages, cloud provider maintenance, or internet infrastructure failures.
9. Intellectual Property
All platform software, user interface designs, AI algorithms, trademarks, and logos are the exclusive property of Yuvan Creations.
10. AI-Generated Content Disclaimer
AI Agent responses and smart suggestions are generated probabilistically using vector models. Account owners must verify critical responses. Yuvan Creations is not liable for errors in AI-generated customer messages.
11. Limitation of Liability
In no event shall Yuvan Creations be liable for indirect, incidental, special, or consequential damages resulting from the use or inability to use Metify.
12. Account Suspension & 13. Termination
We reserve the right to suspend or terminate any workspace account that violates WhatsApp policies, engages in spamming, or fails to pay subscription fees.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the courts in India.
